Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Uzicookie, operated by Uptowncorps ("Uzicookie", "we", "us", "our"), governing your access to and use of the Uzicookie platform, website, APIs, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "Sign Up" or "I Agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not use the Service.

Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts. The Service is intended for business use only and is not available for personal, household, or consumer purposes.

Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

One Account Per Business

Each business entity is permitted one primary account unless a multi-account arrangement has been expressly agreed in writing with Uzicookie.

Account Verification

We reserve the right to verify your identity, business legitimacy, and compliance with Meta's WhatsApp Business policies at any time, and to suspend or terminate accounts that do not meet our requirements.

Plans

Uzicookie offers the following subscription tiers: Vibe, Flex, Slay, and Enterprise, each with defined feature limits. Plan details, including contact limits, message volumes, and user seats, are as stated on our Pricing page at the time of purchase.

Billing

Subscriptions are billed monthly or annually in advance. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Price Changes

We may change subscription fees at any time with 30 days' prior written notice. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new fees.

Failed Payments

If payment fails, we may suspend access to the Service after reasonable notice. Accounts suspended for non-payment for more than 30 days may be terminated and data deleted.

Taxes

You are responsible for all applicable taxes. Prices shown exclude VAT, GST, or other applicable taxes unless explicitly stated.

Stripe

Payment processing is handled by Stripe, Inc. By making a payment, you also agree to Stripe's terms of service and privacy policy.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must NOT use the Service to:

Use of the WhatsApp Business API through Uzicookie requires compliance with Meta's policies. As a customer, you acknowledge and agree that:

Uzicookie acts as a Business Service Provider (BSP) and is bound by Meta's BSP agreements. We may pass through policy updates or restrictions from Meta that affect your ability to use the Service.

Your Data

You retain all ownership rights in your account data, campaign content, and the contact data you upload to the platform ("Customer Data"). You grant Uzicookie a limited, non-exclusive license to process Customer Data solely to provide the Service.

Data Processing

Uzicookie acts as a data processor with respect to your contacts' personal data. You are the data controller and are responsible for ensuring you have a lawful basis to process such data and that your contacts have given appropriate consent to receive marketing communications.

Data Portability & Export

You may export your contact data and campaign data at any time through the platform tools. Upon account termination, you have 30 days to export your data before it is deleted.

Uzicookie IP

All rights, title, and interest in and to the Service, including software, design, trademarks, logos, and documentation, are owned exclusively by Uzicookie / Uptowncorps. These Terms do not grant you any intellectual property rights in the Service other than the limited right to use it as described.

Your Content

You retain ownership of any content you create using the Service, including campaign messages, templates, and media. By uploading content, you grant Uzicookie a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely to provide the Service.

Feedback

If you provide suggestions or feedback about the Service, you grant us an irrevocable, perpetual, royalty-free license to use such feedback to improve our products and services.

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Uptime

We target 99.5% uptime (excluding scheduled maintenance) but do not guarantee uninterrupted availability. We are not liable for outages caused by Meta/WhatsApp infrastructure, third-party services, or force majeure events.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UZICOOKIE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL UZICOOKIE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Uzicookie and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) content or data you submit to the Service; or (d) your violation of any third-party rights.

Each party may have access to confidential information of the other. Both parties agree to hold such information in strict confidence and not disclose it to third parties, except as required by law or as necessary to perform obligations under these Terms. This obligation survives termination of your account for a period of three (3) years.

By You

You may cancel your subscription at any time through your account settings or by contacting support@uzicookie.com. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days.

By Uzicookie

We reserve the right to suspend or terminate your account immediately and without notice if you: (a) violate these Terms or our Acceptable Use Policy; (b) fail to pay fees when due; (c) violate Meta's WhatsApp Business policies; or (d) engage in fraudulent, abusive, or illegal activity.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. You have 30 days to export your data. After that period, we may delete all Customer Data. Provisions that by their nature should survive termination (including IP, liability, indemnification, and governing law sections) shall do so.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC), conducted in English in Dubai, UAE.

Class Action Waiver

You agree to resolve disputes with Uzicookie on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding.

Governing Jurisdiction for Non-UAE Users

Customers in the UK or EEA may have additional legal rights under applicable consumer or data protection law that supersede certain provisions above.

Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements (such as a Data Processing Addendum), constitute the entire agreement between you and Uzicookie regarding the Service.

Amendments

We may modify these Terms at any time. We will provide at least 14 days' notice for material changes. Your continued use after the effective date constitutes acceptance.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.

No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so in the future.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Force Majeure

Uzicookie shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, natural disasters, or failures of third-party services (including Meta/WhatsApp).
